Terms of Service

1. Acceptance of Terms
By accessing or using Majori Studio ("the Service"), operated via majoristudio.com, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.
We may update these Terms from time to time. Continued use after changes constitutes acceptance. Material changes will be communicated via email to registered users.
2. Description of Service
Majori Studio is an online platform that allows users to design digital event invitations, manage guest lists, track RSVPs, and publish shareable invitation pages. The Service includes a dashboard for event management, a template-based invitation editor, guest management tools, and analytics.
3. Accounts
To use the Service, you must create an account via our authentication provider (Clerk). You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must be at least 16 years old to create an account.
You agree to provide accurate, current, and complete information during registration and to update your information as necessary.
4. Plans & Pricing
4.1 Free Plan
The Free Plan allows you to design and preview invitations at no cost. To publish an invitation (make it publicly accessible), a one-time payment of $79 per event is required.
4.2 Pro Plan
The Pro Plan is available via per-event purchase ($79/event) and includes full template access, up to 300 guests per event, and all customization features.
4.3 Studio Plan
The Studio Plan is a subscription at $199/month (or $159/month billed annually). It includes unlimited events, unlimited guests, custom templates, advanced analytics, and no watermark. Subscriptions are managed via Stripe.
4.4 Price Changes
We reserve the right to change pricing with 30 days' notice to existing subscribers. Active subscriptions will be honored at their current rate until the next billing cycle after the notice period.
5. Payments & Refunds
All payments are processed securely via Stripe. By completing checkout, you authorize us to charge the provided payment method and explicitly consent to immediate delivery of the digital service, thereby waiving your 14-day right of withdrawal under Article 16(m) of EU Directive 2011/83/EU.
- Per-event payments ($79) are non-refundable once you click Publish, because the invitation is instantly delivered and accessible to your guests.
- Studio monthly subscriptions ($199/month) are eligible for a full refund within 14 days of the first payment, provided fewer than 3 invitations have been published during that period.
- Studio annual subscriptions ($159/month, billed yearly) are eligible for an unconditional full refund within 14 days of the initial payment.
- After the 14-day window, subscriptions are non-refundable. You can cancel at any time via your account settings or the Stripe customer portal; access continues until the end of the current billing period.
- Always refundable: technical failure on our side, duplicate charges, or unauthorized (fraudulent) payments.
Full details, including how to request a refund, are in our Refund Policy. Your statutory consumer rights under EU law are not affected by these terms.
6. User Content
6.1 Ownership
You retain full ownership of all content you create, upload, or enter into the Service, including text, images, audio files, and event data. We do not claim ownership of your content.
6.2 License Grant
By uploading content to the Service, you grant us a limited, non-exclusive license to host, display, and transmit your content solely for the purpose of providing the Service (e.g., rendering your invitation page, sending RSVP notifications).
6.3 Content Restrictions
You agree not to upload or publish content that:
- Is illegal, harmful, defamatory, or fraudulent
- Infringes on intellectual property rights of others
- Contains malware, viruses, or harmful code
- Is sexually explicit or promotes violence
- Violates any applicable law or regulation
We reserve the right to remove content that violates these restrictions without prior notice.
7. Templates & Intellectual Property
All system templates provided by Majori Studio are our intellectual property. You may use them to create invitations through our platform. You may not extract, redistribute, or resell template designs outside of the Service.
Custom templates you create remain your intellectual property, subject to any third-party content used within them.
8. Acceptable Use
You agree to use the Service only for lawful purposes. You shall not:
- Attempt to gain unauthorized access to the Service or its systems
- Use the Service to send spam, phishing, or bulk unsolicited communications
- Interfere with or disrupt the Service or its infrastructure
- Circumvent rate limits, security measures, or access controls
- Use the Service for any purpose other than managing legitimate events and invitations
9. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted service. We may perform maintenance, updates, or experience downtime. We will make reasonable efforts to notify users in advance of planned maintenance.
We are not liable for any loss or damage resulting from service interruptions, including inability to access published invitations during downtime.
10. Data Processing & Privacy
Our collection and use of personal data is governed by our Privacy Policy. By using the Service, you acknowledge and agree to our data practices as described therein.
As an event organizer using the Service, you are responsible for informing your guests about the data collected through your invitations (RSVP responses, page views) and for having a lawful basis (such as consent or legitimate interest) to collect this data.
11. Limitation of Liability
To the maximum extent permitted by applicable law, Majori Studio shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or use, arising out of or related to your use of the Service.
Our total aggregate liability for any claims arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
12. Account Termination
You may delete your account at any time by contacting us. Upon deletion, all your events, invitations, and associated data will be permanently removed (cascade delete).
We reserve the right to suspend or terminate accounts that violate these Terms, with notice where practicable.
13. Governing Law & Disputes
These Terms are governed by the laws of Austria. Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts in Vienna, Austria.
For EU consumers: You may also use the European Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
14. Severability
If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be replaced by a valid provision that most closely achieves the intended purpose.
15. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Majori Studio regarding the use of the Service. They supersede any prior agreements, communications, or understandings, whether written or oral, relating to the subject matter herein.
